GRANT AGREEMENT

I. Acceptance of Grant

The grant to your organization from The Greater New Orleans Foundation is made solely for the purpose(s) described in the Grant Purpose. Payment of the grant is conditioned on your acceptance of the terms described in the Grant Purpose and in this Agreement.

To acknowledge and accept this Agreement and the terms of the grant described below and to receive the grant funds, please sign the following.

II. Review of Grant Activity:

The grant period for this grant begins DATE and ends DATE. A final report will be due by DATE, unless otherwise directed, and should be submitted via the online portal. Please note that submitting the report is what completes your grant, and therefore makes your organization eligible for future grantmaking across the Foundation. Should you have issues submitting your final report, please contact the Program Officer.

III. Special Provisions:

All grants are made, and must be used, in accordance with all applicable laws, regulations, and rulings. Please read the following carefully:

1. Public Announcements:

By accepting this grant, your organization is committing to publicize the grant and its funding source (i.e., the Greater New Orleans Foundation) each time the funded work is mentioned in internal or external promotions. Please read the attached Publicity Guidelines carefully.

2. Intellectual Property:

Grantee owns any intellectual property it produces within the scope of this grant. Grantee agrees that all original material produced pursuant to this grant will be made available under a Creative Commons Attribution-ShareAlike license. This license lets others remix, tweak, and build upon your work even for commercial purposes, as long as they credit you and license their new creations under identical terms. All new works based on yours will carry the same license, so any derivatives will also allow commercial use. 3. Grant Proposals:

Grantee agrees to let the Foundation share its grant proposal with third parties—e.g., other donors or foundations—for fundraising and other purposes.

4 . Expenditure of Grant Funds:

This grant is made expressly and solely for the purposes stated in the grant agreement. The funds provided hereunder may be spent only in accordance with the provisions in the grant proposal that was approved by the Greater New Orleans Foundation. The program is subject to modification only with the Foundation’s prior written approval. Funds will be paid to the grantee upon receipt of the properly completed “Grant Agreement” and satisfactory compliance with all special conditions.

  1. Special conditions that apply to this grant, as described above, should be complied with as rapidly as feasible. These conditions may need to be satisfied before grant funds are paid. In such cases, you must submit adequate evidence of compliance with the conditions before the Foundation releases funds.
  2. The grantee organization is responsible for the expenditure of funds and for maintaining adequate supporting records consistent with generally accepted accounting practices.

Special budget and other provisions:

No federal funds may be used to pay any person or organization for influencing or attempting to influence an officer of any agency, a member of Congress, officer or employee of Congress, or an employee of a member of Congress in connection with obtaining any Federal contract, grant or any other award covered by 31 U.S.C. 1352. Workforce partnerships shall disclose any lobbying with non-Federal funds that takes place in connection with obtaining any Federal award.

5 . Reversion of Grant Funds:

Grantee will return to the Foundation any unexpended funds at the close of the project period.  Funds also will be promptly returned if:

  1. The Foundation determines that the grantee has not performed in accordance with the “Grant Agreement” or satisfied the specific conditions of the approved program and its supporting budget.
  2. Grantee loses its exemption from federal income taxation under Section 501(c)(3) of the Internal Revenue Code of 1954, as amended.

6. Limit of Commitment:

Unless otherwise provided in writing, this grant is made with the understanding that The Foundation has no obligation to provide alternative or additional support to the grantee. This grant is further contingent upon continued availability of funding through this program.

7. The Greater New Orleans Foundation encourages you to communicate not only your successes throughout the grant period but also challenges that your organization might be experiencing. If you find that you might not be able to fulfill the terms of this agreement, please contact your Program Officer. Your success is important to us, and staff might be able to help you address your challenges.
